- Job Description Summary The Corporate Counsel II position is responsible for handling a wide variety of moderately complex to complex legal matters as assigned by MedImpact’s Chief Legal Officer or their designee.
- These may include, but are not limited to: providing guidance to internal business partners; drafting and reviewing communications to internal business partners, clients, and third parties; trial preparation and strategy; drafting, reviewing, and negotiating contracts and settlement agreements; reviewing new legislation and analyzing their applicability to MedImpact’s business operations; and reviewing other legal documents for compliance with MedImpact’s policies and regulatory requirements.
- Essential Duties and Responsibilities include the following.
- Other duties may be assigned.
- Assists in-house General Counsel and other attorneys with moderately complex to complex corporate governance matters and corporate development initiatives.
- Participates, as needed, in major legal actions and litigation efforts.
- Directs and monitors external legal counsel.
- Drafts, reviews, and/or negotiates legal documents and forms, licensing agreements, service agreements, settlement agreements and other contracts or agreements as necessary.
- Reviews and interprets a variety of agreements to ensure they meet corporate, regulatory and legal requirements for such documents.
- Responds to and assists internal business partners with legal questions and/or legal guidance for client issue resolution, including but not limited to, the Pharmacy Network Team, Contract Management, and the Regulatory Compliance team.
- Responsible for foreseeing and protecting company against legal risks.
- Performs risk assessment/risk analysis.
- Assists with monitoring and advising on regulatory requirements to ensure company-wide compliance.
- Keeps current with emerging regulations, state and federal laws pertaining to the Pharmacy Benefit Management industry.
- Monitors legal and regulatory development on a state and federal level; provides updates and input to management regarding laws, regulations and professional standards relating to the PBM industry.
- Oversees and performs other related duties, tasks and responsibilities as required, assigned or directed.
